Corporate Governance

H&M’s corporate governance is based on Swedish legislation and in particular the Swedish Companies Act, the listing agreement with the Stockholm Stock Exchange and the rules and recommendations issued by relevant organisations.

H&M applies with the Swedish Code of Corporate Governance. The Code is based on the principle of "comply or explain", which means that companies applying the Code may deviate from individual rules provided they give an explaination of the deviation. The corporate governance related issues of H&M are described on the following pages, in the Corporate Governance Report, in the Annual Report as well as under “Corporate Governance Report”.
